These Terms and Conditions ("Terms") govern your access to and use of OpenList247 (the "Platform"), operated by Hisparadise Multilink Resources Limited ("OpenList247", "we", "us" or "our"). By creating an account, listing a business, leaving a review, funding a wallet, running an advertising campaign, or otherwise using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
1. Acceptance of Terms
By accessing or using OpenList247 in any way, you confirm that you have read, understood, and agree to these Terms, our Privacy Policy, Cookie Policy, Listing Policy, and Review Policy, each of which is incorporated into these Terms by reference.
2. Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, and capable of forming a binding contract to use OpenList247. By using the Platform, you represent that you meet these requirements and that any information you provide is accurate.
3. Account Registration and Security
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account. We may suspend or terminate accounts that provide false information, are used to violate these Terms, or are inactive or abusive.
4. Business Listings
Anyone may list a business on OpenList247, subject to admin review. By submitting a listing, you confirm that you are the owner, an authorized representative of the business, or otherwise have the right to list it, and that all information provided is accurate and kept up to date.
We reserve the right to review, edit, approve, reject, suspend, or remove any listing at our sole discretion, including listings that violate our Listing Policy, contain false or misleading information, or are reported by other users. A "Verified" badge or CAC registration number displayed on a listing reflects information submitted by the business owner and reviewed by us; it is not a guarantee of the business's conduct, quality, or legitimacy.
5. Reviews and User Content
Users may post reviews, ratings, replies, questions, and other content ("User Content") in accordance with our Review Policy. You retain ownership of your User Content, but by posting it you grant OpenList247 a worldwide, royalty-free, non-exclusive licence to host, display, reproduce, and distribute it as part of operating the Platform, for as long as it remains posted plus a reasonable period afterward for archival and legal purposes.
You are solely responsible for your User Content. We may remove or refuse to publish any User Content that violates our Review Policy, is unlawful, defamatory, harassing, or otherwise objectionable, at our sole discretion and without prior notice.
6. Wallet, Payments and Refunds
OpenList247 offers an in-platform wallet that can be funded and used to pay for services such as advertising campaigns and business subscriptions. All wallet balances and transactions are denominated in Nigerian Naira (NGN) unless otherwise stated.
Wallet funds spent on services that are subsequently rejected by our review process (for example, an advertising campaign that does not meet our content standards) are refunded to your wallet automatically. Except where required by law or expressly stated on the Platform, wallet funds and payments for services already rendered are non-refundable. We do not guarantee any particular business outcome, level of traffic, or return from any paid service.
7. Advertising
Advertisers may purchase ad placements subject to admin review and approval before a campaign goes live. We reserve the right to reject, pause, or remove any advertising content that violates our content standards, is misleading, or is otherwise inappropriate, and to adjust placement availability and pricing at any time. Approved campaigns are billed based on the duration and placement selected at the time of purchase; performance metrics (impressions, clicks) are provided for informational purposes and are not guaranteed.
8. Bookings and Orders
Where the Platform allows a business to accept bookings or orders directly, OpenList247 acts only as a facilitator connecting customers and businesses. We are not a party to, and are not responsible for, the underlying transaction, its fulfilment, quality, pricing, or any dispute between a customer and a business. Any such dispute should be resolved directly between the customer and the business concerned.
9. Prohibited Conduct
You agree not to: post false, misleading, or fraudulent listings or reviews; impersonate any person or business; harvest or scrape data from the Platform without permission; attempt to interfere with, disrupt, or gain unauthorized access to the Platform or its systems; use the Platform for any unlawful purpose, including listing illegal goods or services; manipulate ratings or reviews, including through incentivized or fake reviews; or upload content that infringes another person's intellectual property or privacy rights.
10. Intellectual Property
The OpenList247 name, logo, design, and underlying software are the property of Hisparadise Multilink Resources Limited and may not be used without our prior written permission. Business owners retain rights to the content and media they upload but grant us the licence described in Section 5 to display it on the Platform.
11. Third-Party Links and Services
The Platform may contain links to third-party websites, payment processors, or services (including WhatsApp and Google AdSense) that we do not control. We are not responsible for the content, policies, or practices of any third-party service.
12. Disclaimers of Warranty
The Platform is provided on an "as is" and "as available" basis. We do not warrant that the Platform will be uninterrupted, error-free, or completely secure, or that any business listing, review, or advertisement is accurate, complete, or reliable. To the fullest extent permitted by law, we disclaim all warranties, express or implied, in connection with the Platform.
13. Limitation of Liability
To the fullest extent permitted by law, Hisparadise Multilink Resources Limited and OpenList247 will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Platform, even if advised of the possibility of such damages. Our total liability for any claim arising from your use of the Platform is limited to the amount you paid to us, if any, in the twelve months preceding the claim.
14. Indemnification
You agree to indemnify and hold harmless Hisparadise Multilink Resources Limited, OpenList247, and our officers, employees, and agents from any claim, loss, or damage, including reasonable legal fees, arising from your use of the Platform, your User Content, or your violation of these Terms.
15. Termination
We may suspend or terminate your access to the Platform at any time, with or without notice, for conduct that we believe violates these Terms or is otherwise harmful to other users, us, or third parties. You may stop using the Platform and close your account at any time by contacting us.
16. Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles.
17. Dispute Resolution
We encourage users to contact us first to resolve any dispute informally. If a dispute cannot be resolved informally, it will be subject to the exclusive jurisdiction of the courts of Nigeria.
18. Changes to These Terms
We may update these Terms from time to time. Material changes will be reflected in the "last updated" information shown on this page. Continued use of the Platform after a change takes effect constitutes acceptance of the revised Terms.
